2. Services
We provide design, build and ongoing management of websites, custom business apps and related digital services. The specific scope, deliverables and monthly fee for your engagement are set out in your proposal.
3. Fees & payment
- Setup fees are payable as a deposit before work begins.
- Monthly management fees are payable in advance, monthly, by bank transfer or direct debit.
- Late payments accrue interest under the Late Payment of Commercial Debts (Interest) Act 1998.
4. Term & cancellation
Engagements are month-to-month with 30 days' notice unless otherwise agreed in writing. On cancellation we will hand over your content, data and account access cleanly.
5. Intellectual property
On full payment, you own the bespoke website, content and data we produce for you. We retain ownership of our underlying tooling, templates and the Banny Core platform, and grant you a licence to use them for the duration of your engagement.
6. Client responsibilities
You agree to provide accurate information, timely feedback, and any content, credentials or approvals we reasonably need to deliver the services.
7. Liability
To the extent permitted by law, our total liability under these terms is limited to the fees paid by you to us in the preceding twelve months. We do not exclude liability that cannot be excluded under English law.
8. Confidentiality
We treat your business information as confidential and only use it to deliver the services.
9. Data protection
Our handling of personal data is governed by our Privacy Policy and, where we act as your processor, by a separate Data Processing Agreement.
10. Governing law
These terms are governed by the laws of England & Wales and subject to the exclusive jurisdiction of the English courts.
